Welcome to Wazbuy. These Terms of Service (the “Terms”) are a legal agreement between you and Wazbuy and set out the rules for using our website at wazbuy.com and the Wazbuy platform. Please read them carefully. They affect your rights and obligations.
1. Agreement to these terms
By accessing wazbuy.com, creating an account, or using any part of the Wazbuy platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are using Wazbuy on behalf of a business or other organisation, you accept these Terms for that organisation and confirm that you have the authority to bind it.
2. Definitions
- “Wazbuy”, “we”, “us” or “our” refers to the company that operates the Wazbuy platform and wazbuy.com.
- “Seller”, “you” or “your” means any person or business that registers for or uses the Service to sell goods.
- “Customer” means an end shopper who browses, orders or pays through a Seller's Store.
- “Service” means the Wazbuy website, dashboard, tools, APIs and related features we make available.
- “Store” means a Seller's catalogue and storefront hosted through Wazbuy, typically at wazbuy.com/yourstore.
3. Eligibility
To use Wazbuy, you must:
- be at least 18 years of age and able to enter into a legally binding contract under the laws of India;
- have the authority to act for, and bind, the business you represent; and
- use the Service only to sell lawful goods that you are permitted to sell under applicable law.
4. Accounts & registration
You agree to provide accurate, current and complete information when you register and to keep that information up to date. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. Notify us promptly at legal@wazbuy.com if you suspect any unauthorised use of your account.
5. The Service
Wazbuy provides technology that helps Sellers sell through WhatsApp, including tools for product catalogues, UPI checkout, order management and our Fraud Shield risk signals. We are continuously improving the Service.
Some features are offered in early access and may be incomplete, changed, or withdrawn at any time without liability to you. We may also add, modify or remove features as the Service evolves.
6. Seller responsibilities
Wazbuy is a technology platform. We are not the seller or merchant of record for your goods and we are not a party to the sale between you and your Customers. As a Seller, you are solely responsible for:
- your products, their descriptions, images, availability and pricing;
- charging, collecting and remitting all applicable taxes, including GST, and complying with invoicing requirements;
- fulfilment, shipping, delivery and any returns, replacements or refunds;
- customer service and resolving disputes with your Customers; and
- complying with all laws applicable to your business, including consumer protection, labelling and e-commerce rules in India.
7. Payments & UPI
Payments made through your Store are processed by third-party UPI and payment service providers. Your and your Customers' use of those services is subject to the relevant provider's terms and conditions, and Wazbuy does not hold or control those funds.
Fees for the Service and any plan charges are set out on our Pricing page and are payable in Indian Rupees (â‚ą). Unless stated otherwise, all charges are exclusive of applicable taxes, which you are responsible for.
8. Fraud Shield disclaimer
Fraud Shield provides automated risk signals and scores designed to assist you in making decisions about orders. These signals are predictive and are not a guarantee of any outcome.
The final decision to ship, hold, cancel or refund any order, and all responsibility and liability for that decision, rests entirely with you as the Seller. Wazbuy is not liable for losses arising from your reliance on Fraud Shield signals.
9. Acceptable use
When using the Service, you agree that you will not:
- sell or promote illegal, infringing, counterfeit, fraudulent, unsafe or otherwise prohibited goods;
- use the Service for any unlawful, deceptive or harmful purpose, or to harass or defraud Customers;
- scrape, data-mine, reverse engineer, decompile or attempt to derive the source code of the Service;
- interfere with, disrupt or attempt to gain unauthorised access to the Service or its underlying systems; or
- upload malware or otherwise compromise the security or integrity of the Service.
10. Third-party services & WhatsApp
Wazbuy works alongside WhatsApp and other third-party services. You are responsible for complying with the WhatsApp Business Platform terms and the policies of Meta Platforms, Inc. that apply to your messaging and commerce activity.
WhatsApp and Meta are trademarks of their respective owners. Any integrations with third-party services are governed by those third parties' own terms, and we are not responsible for their acts or omissions.
11. Intellectual property
The Service, including the Wazbuy software, design, brand, logos and marks, is owned by Wazbuy and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Service in accordance with these Terms.
You retain ownership of the content you upload, such as your product information, images and Store details. You grant us a licence to host, display and process that content solely to provide and improve the Service.
12. Fees, plans & cancellation
Plan options and pricing are described on our Pricing page. During early access, some features may be offered free of charge. Taxes are charged in addition to listed prices where applicable.
You may cancel your subscription at any time, effective at the end of your then-current billing period. Except where required by law, fees already paid are non-refundable.
13. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that any defects will be corrected.
14. Limitation of liability
To the fullest extent permitted by applicable law, Wazbuy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Service.
To the extent liability cannot be excluded, our total aggregate liability to you for any claim will not exceed the total fees you paid to Wazbuy for the Service in the three (3) month period immediately preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend and hold harmless Wazbuy and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your products, your Store, your sales to Customers, your content, or your breach of these Terms or of any applicable law.
16. Termination & suspension
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we reasonably believe your activity poses a risk to Wazbuy, our users or third parties.
On termination, your right to use the Service ends immediately. Provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification and governing law, will continue to apply.
17. Governing law & jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to any rights you have under applicable law, you agree that the courts of Chennai, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
18. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
